Terms of Service
This Redpanda User Agreement (“Terms”) governs your access to and use of the website and other online products and services (together, the “Services”) provided by Redpanda (“Redpanda”, “we”, “us”, or “our”).
The Services are provided by Dreamhaven, a company registered and operating under the laws of Singapore.
While Redpanda is designed for your entertainment and enjoyment, we still need some basic guidelines. By accessing or using our Services, you agree to comply with these Terms. If you do not agree with these Terms, you are not permitted to access or use our Services.
Your Access to the Services
The Services are not available to anyone under the age of 13. We may also offer certain Services that have higher age requirements, so be sure to read all relevant notices and any Additional Terms carefully when accessing the Services.
By using the Services, you confirm that:
- You are at least 13 years old and meet the minimum age requirements for your country of residence to access and use the Services;
- You are capable of forming a binding contract with Redpanda, or, if you are under the age of majority in your jurisdiction but over 13, that your legal guardian has reviewed and agreed to these Terms on your behalf;

- You have not been permanently suspended or banned from using the Services.
If you are agreeing to these Terms on behalf of a legal entity, such as a business or government organization, you confirm that you have the full legal authority to bind that entity to these Terms.

Redpanda’s Privacy Policy details how and why we collect, use, and share your information when you access or use our Services. By using the Services, you acknowledge and agree to the collection and use of your information as described in our Privacy Policy.
Your Use of the Services
By fully complying with these Terms, Redpanda grants you a personal, non-transferable, non-exclusive, revocable, and limited license to access and use the Services. All rights not explicitly granted to you in these Terms are reserved by us.
Unless prohibited by applicable law, you may not, without our prior written consent:
- License, sell, transfer, assign, distribute, host, or exploit the Services or Content for commercial purposes;
- Modify, create derivative works, disassemble, decompile, or reverse-engineer any part of the Services or Content;
- Access the Services or Content to create a similar or competing website, product, or service, except where permitted by Additional Terms (as described below).
We are continually enhancing our Services, which may involve adding or removing features, products, or functionalities. While we aim to notify you in advance, this may not always be feasible. We reserve the right to alter, suspend, or discontinue the Services (in whole or part) at any time, with or without prior notice. Any updates, new releases, or changes to the Services will be governed by these Terms, which may be updated periodically. Your Redpanda Account and Account Security
In order to access certain features of our Services, you may need to create a Redpanda account (an “Account”) and provide details such as a username and other information, as outlined in our Privacy Policy.
You are fully responsible for all information linked to your Account and any activities related to it. It is important to keep your Account secure and notify Redpanda immediately if you suspect any unauthorized access.
You are not permitted to license, sell, or transfer your Account without obtaining prior written consent from us.
Your Content
The Services may include various types of materials such as text, links, graphics, images, videos, audio, streams, software, tools, or other content (“Content”), which may include content you create or submit through your Account (“Your Content”). We do not accept responsibility for, nor do we explicitly or implicitly endorse, support, or guarantee the accuracy, completeness, or reliability of any of Your Content.
By submitting Your Content to the Services, you affirm that you possess all necessary rights, authority, and permissions to grant the rights to Your Content as specified in these Terms. Since you are solely responsible for Your Content, posting or sharing it without the required rights may expose you to legal liability.
While you retain ownership of Your Content, you grant Redpanda a broad license to use that content, as follows:
When Your Content is created or submitted to the Services, you grant Redpanda a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, modify, adapt, create derivative works from, distribute, store, display, perform, and broadcast Your Content, as well as any related names, usernames, voices, or likenesses, across all media formats and channels, now known or later developed, worldwide. This license also includes the right for Redpanda to share Your Content with its partners for syndication, distribution, or publication purposes. You further agree that we may remove metadata from Your Content and irrevocably waive any moral rights or attribution claims related to it.
Any ideas, suggestions, or feedback you provide to us regarding Redpanda or its Services are entirely voluntary, and you agree that Redpanda can use these contributions without providing compensation or any obligation to you.
While we are not required to monitor, screen, or edit Your Content, we reserve the right, at our sole discretion, to remove Your Content at any time and for any reason. This may include violations of these Terms, our Redpanda Community Guidelines, or any other policies, or if Your Content creates or is likely to create legal liability for us.
Third-Party Content, Advertisements, and Promotions
The Services may include links to external websites, products, or services provided by third parties, such as advertisers, affiliates, partners, or other users (“Third-Party Content”). These Third-Party Content are not under our control, and we are not responsible for their content, products, or services. You access and use Third-Party Content at your own discretion, and we recommend conducting any necessary research before engaging in transactions related to such content.
The Services may also feature sponsored Third-Party Content or advertisements. The format, scope, and targeting of ads may vary, and you acknowledge that we have the right to display advertisements alongside any Content or information on the Services, including Your Content.
If you use the Services to run a promotion, such as a contest or sweepstakes (“Promotion”), you are solely responsible for ensuring that the Promotion complies with all applicable laws and regulations. This includes creating official rules, terms of the offer, eligibility criteria, and securing any necessary licenses, registrations, bonds, or regulatory approvals. Your Promotion must clearly state that it is not sponsored, endorsed, or affiliated with Redpanda, and your rules must require participants to release Redpanda from any liability. You understand and agree that Redpanda will not provide any assistance with your Promotion, and you will be fully responsible for conducting it at your own risk.
Things You Cannot Do
When using the Services, you are required to follow these Terms and comply with all relevant laws, rules, and regulations. Please familiarize yourself with the Redpanda Community Guidelines, which are integrated into these Terms and outline the prohibited content and behavior on the platform. Beyond what is outlined in the Redpanda Community Guidelines, the following actions are also prohibited:
- Using the Services in a way that could disrupt, overload, damage, or negatively affect the operation of the Services;
- Attempting to access (or actually accessing) another user’s Account or any private sections of the Services, including the underlying computer systems or networks associated with the Services;
- Uploading, transmitting, or distributing any malicious software, viruses, worms, or other harmful code intended to interfere with the functionality or security features of the Services;
- Using the Services to violate any laws or infringe upon the intellectual property or proprietary rights of others;
- Accessing, searching, or collecting data from the Services in any manner (automated or manual) unless explicitly permitted by these Terms or through a separate agreement with Redpanda (we may grant limited permission for crawling the Services in accordance with our robots.txt file, but scraping the Services without prior written consent is strictly prohibited);
- Using the Services in any way that we reasonably deem as abuse or fraudulent activity against Redpanda or any system associated with the platform.

Copyright, Trademark, the DMCA, and Takedowns
Redpanda is committed to respecting the intellectual property rights of others and expects its users to do the same. We have a policy in place that involves removing infringing material from our Services and, when appropriate, terminating the accounts of users who repeatedly infringe on intellectual property rights. Intellectual Property
Redpanda owns and operates the Services. All visual elements, logos, graphics, designs, compilations, data, computer code, products, services, trademarks, and other components of the Services (“Materials”) provided by Redpanda, whether registered or not, are protected by intellectual property laws and other applicable regulations. All Materials featured within the Services are the property of Redpanda or its third-party licensors. By downloading Materials, you do not acquire any ownership rights. Except as specifically authorized by Redpanda, you are prohibited from using the Materials in any manner. Redpanda retains all rights to the Materials that are not explicitly granted to you under these Terms.
Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Redpanda, its affiliates, and their respective directors, officers, employees, agents, contractors, third-party service providers, and licensors (collectively, the “Redpanda Entities”) from any third-party claims, demands, and any associated liabilities, damages, losses, and expenses (including legal fees) that arise out of or are related to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any applicable laws or regulations; or (d) Your Content. We reserve the right to manage the defense of any claim for which you are required to indemnify us, and you agree to assist in our defense of such claims.
Disclaimers and Limitation of Liability
These Terms do not override any legal rights you may be entitled to as a user under applicable law. In some jurisdictions, limitations on certain warranties or liabilities are not permitted. Where that is the case, the provisions below will only apply to the extent allowed by the relevant laws.
THE SERVICES ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY GUARANTEES, CONDITIONS, OR WARRANTIES—WHETHER EXPRESS, IMPLIED, OR STATUTORY—INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC PURPOSE, TITLE, AND NON-INFRINGEMENT. REDPANDA AND ITS AFFILIATES DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE ACCURATE, COMPLETE, RELIABLE, UP TO DATE, OR ERROR-FREE. WE ALSO DO NOT CONTROL OR ENDORSE THIRD-PARTY CONTENT OR USER BEHAVIOR AND CANNOT BE HELD RESPONSIBLE FOR THEIR ACTIONS. ALTHOUGH WE STRIVE TO KEEP OUR PLATFORM SECURE, WE DO NOT WARRANT THAT THE SERVICES OR OUR SERVERS WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
UNDER NO CIRCUMSTANCES SHALL REDPANDA OR ANY OF ITS ASSOCIATED ENTITIES BE HELD LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING FROM THE USE OF THE SERVICES OR ANY ALLEGED HARMFUL CONTENT—SUCH AS MATERIAL DEEMED OFFENSIVE, DEFAMATORY, OR UNLAWFUL. YOU ACCESS AND USE THE SERVICES AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA RESULTING FROM YOUR USE.
IN ANY CASE, THE TOTAL LIABILITY OF REDPANDA AND ITS ENTITIES FOR CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF EITHER ONE HUNDRED SINGAPORE DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED—WHETHER CONTRACT, TORT, WARRANTY, STATUTE, OR OTHERWISE—EVEN IF WE WERE WARNED OF THE POSSIBILITY OF SUCH DAMAGES OR IF ANY REMEDY FAILS IN ITS INTENDED PURPOSE.

To the maximum extent allowed by law, any legal matters or disputes connected to these Terms or your use of the Services will be governed by the laws of Singapore, without regard to its conflict of law principles. Any disputes must be resolved exclusively in the courts located in Singapore, and both you and Redpanda agree to submit to the personal jurisdiction of those courts.
Changes to these Terms
We may update these Terms periodically. When we do, we will publish the updated Terms. By continuing to access or use the Services after the updated Terms are posted, you agree to abide by them. If you do not agree with the updated Terms, you must stop using the Services before the changes take effect.
Termination
You may terminate these Terms at any time and for any reason by deleting your Account and ceasing to use all Services. If you stop using the Services without deactivating your Account, it may be deactivated due to prolonged inactivity.
To the fullest extent allowed by applicable law, we may suspend or terminate your Account or restrict your access to the Services at any time, for any reason, or for no reason at all, including if you violate these Terms or our Redpanda Community Guidelines.
The following sections will remain in effect even after the termination of these Terms or your Account: Your Content, Things You Cannot Do, Indemnity, Disclaimers and Limitation of Liability, Governing Law and Venue, Termination, and Miscellaneous.
Miscellaneous
These Terms, along with the Privacy Policy and any other agreements expressly incorporated by reference, represent the complete agreement between you and us concerning your access to and use of the Services. If we fail to exercise or enforce any right or provision of these Terms, it does not waive that right or provision. Should any part of these Terms be deemed invalid or unenforceable, the remaining parts will continue to be in full effect, and the unenforceable part will be enforced to the maximum extent possible. You may not assign or transfer any of your rights or obligations under these Terms without our prior consent. We retain the right to assign any of our rights and obligations under these Terms freely.
Headings are provided for convenience only and should not influence the interpretation of these Terms. For clarity, the following rules apply: (a) the terms “include,” “includes,” and “including” should be interpreted as meaning “without limitation”; (b) terms like “such as,” “for example,” “e.g.,” and their derivatives are used to illustrate examples and should not be considered an exhaustive list; and (c) the word “or” should be understood inclusively as “and/or,” with terms like “or,” “any,” and “either” not being exclusive. No ambiguity will be assumed against any party based on a claim that it drafted these Terms.
